I. Introduction
Welcome to "World Of Frens", an NFT project. By accessing and using our services or the worldoffrens.com website, and by attempting to purchase a World Of Frens NFT, you agree to comply with the following Terms & Conditions. These Terms & Conditions govern your use of the website and the purchase of NFTs. If you do not agree with any part of these Terms & Conditions, you should not use our services or the worldoffrens.com website or attempt to purchase any World Of Frens NFTs.
II. Definitions
"NFT" - An NFT, or Non-Fungible Token, is a unique digital asset that is represented by an SPL token on the Solana blockchain, that you own and it is minted under "World Of Frens" terms and conditions. Each NFT represents a specific piece of digital content and is designed to be one-of-a-kind and non-interchangeable with other NFTs. The ownership and transfer of an NFT is recorded on the Solana blockchain, providing a transparent and decentralized way to manage digital assets.
"Art" is defined as any unique and original digital asset that has been created by the artist or creator and is intended to be appreciated for its aesthetic or cultural value. This includes any associated art, designs, drawings, traits, layers, and other design elements that may be part of the NFT that you own.
"Attribute" refers to a specific characteristic or trait that is associated with an NFT. Attributes can be used to describe various aspects of the NFT, such as its physical or digital features, its rarity, its history or provenance, or its relationship to other NFTs or collections.
"Content" refers to any text, images, audio material, video material, audio-visual material, or other forms of media that may be associated with a product or service from World Of Frens. This includes any digital or physical content that is created, owned, licensed, or distributed by the provider of the product or service. Examples of content may include blog posts, articles, photographs, videos, podcasts, music, artwork, software, or other types of media created by the "World Of Frens" team."
"NFT Marketplace" means the place where our collection is listed and in this regard, it means the only safe way to buy or sell our NFTs. All markets accepted by the project are indicated on our website.
"Ownership" means that the buyer of an NFT acquires the right to own and transfer the digital asset represented by the NFT on the Solana blockchain. This ownership is recorded on the blockchain, which provides a decentralized and transparent way to manage digital assets.
"Creator/Owner" - The creator/owner of an NFT project is the individual or entity responsible for designing, producing, and tokenizing the digital content that is sold as an NFT on the blockchain. They hold intellectual property rights to the content and can set the terms of the sale, such as the initial price and the number of NFTs to be minted.
"Owner/Holder" refers to the individual or entity that has purchased or acquired an NFT representing a specific digital asset on a blockchain network. As the owner of the NFT, they have the right to transfer or sell the NFT, and therefore the underlying digital asset, to other individuals or entities.
"Minting" - Minting in the context of NFTs (Non-Fungible Tokens) refers to the process of creating a new, unique token on a blockchain network (Solana). This is typically done by a buyer who wants to tokenize a piece of digital content, such as artwork, music, or video.
III. Ownership and Transfer of NFTs
Ownership of NFTs - By taking ownership of the "World Of France" NFT and accepting the terms, through minting or purchase on one of the authorized markets, the owner of the NFT project guarantees a royalty-free license to:
use, display, or otherwise enjoy the Art of your Licensed NFT for your own personal use;
sell, transfer or rent "World Of Frens" NFTs on the relevant NFT marketplaces or between other parties outside the marketplace;
the owner of an NFT is granted all ownership rights associated with the underlying digital content represented by the NFT, including the right to display, distribute, and reproduce the content in commercial purposes, including: creating your own brand, using it as a logo, using it in all conditions that imply direct or indirect commercial activities, in marketing campaigns and other things that do not contradict the views of section IV. Content and Intellectual Property Rights;
creating, reproducing, and selling physical merchandise that portrays the World Of Frens NFT underlying Art in its entirety.
Transfer of NFTs -
The NFT owner has the right to transfer or sell the NFT to any other individual or entity in the most secure manner through verified NFT markets.
The creator of the World Of Frens is not responsible for facilitating or verifying any further transfer or sale of the NFT.
The project creator bears no responsibility in case of loss of ownership of NFTs in case of sale or transfer in markets not verified by the project or outside the market whether it is a verbal agreement, promise, fraud, hacking or any other means that is not in the creator's domain.
Loss or Theft of NFTs -
The owner of an NFT is solely responsible for safeguarding and securing the NFT, including any private keys or other access codes required to access the NFT.
In the event of loss or theft of an NFT, the owner should contact the creator of the NFT project as soon as possible to report the loss or theft.
The creator or owner of the NFT project is not responsible for any losses incurred as a result of the loss or theft of an NFT, and is under no obligation to replace or compensate for any lost or stolen NFTs.
IV. Content and Intellectual Property Rights
Use of Content
The creator or owner of the NFT project represents and warrants that they are the sole owner of all content associated with the NFT project.
All digital content associated with the "World Of Frens" brand, including but not limited to art, designs, drawings, traits, and layers, are protected by copyright and other intellectual property laws, whether it is about the Web site, Discord, Twitter, Instagram, other social media, or places on the web content.
The owner of an NFT may not use or display the digital content associated with the NFT in any manner that violates the intellectual property rights or other legal rights of any third party.
Intellectual Property Rights
The creator or owner of the NFT project retains all intellectual property rights associated with the digital content, including but not limited to copyright, trademark, and patent rights. When an NFT owner sells his NFT, he transfers ownership of the digital assets associated with that NFT, but not the copyright.
The owner of an NFT acknowledges and agrees that any unauthorized use or infringement of the intellectual property rights associated with the digital content may result in legal action by the creator or owner of the NFT project.
V. Warranties and Representations
By creating, purchasing, or transferring ownership of a World of Frens NFT, you represent and warrant that: (a) you have read and understood these terms and conditions and agree to be bound by them; (b) you have full power and authority to enter into and perform these terms and conditions; (c) you are not violating any applicable laws, rules, or regulations by purchasing, owning, or selling World of Frens NFTs; (d) you are solely responsible for any taxes that may be payable on the purchase, sale, or ownership of the NFTs; (e) you understand and accept the risks associated with owning digital assets, including the volatility of the NFT market and the potential for loss of value; and (f) you will comply with all applicable laws, rules, and regulations related to the purchase, ownership, and sale of NFTs.
You further represent and warrant that the Art associated with the World of Frens NFTs: (a) is original and created by the artist or creator; (b) does not infringe upon the intellectual property rights or other rights of any third party; (c) does not violate any applicable laws, rules, or regulations; (d) is not defamatory, obscene, or offensive; and (e) is free from any viruses, malware, or other harmful components.
You agree to indemnify, defend, and hold harmless the World of Frens NFT project and its affiliates, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use, ownership, or transfer of the NFTs or your breach of these terms and conditions.
VI. Disclaimers and Limitation of Liability
You must understand that World Of Frens NFTs are created for artistic and entertainment purposes only. You also need to understand:
The market of cryptocurrencies, NFTs, and other blockchain assets is extremely volatile with constant price fluctuations, as they have no inherent or intrinsic value, the impact of those variables on the price and value of NFTs is beyond our control.
The creator does not guarantee or make statements about the availability of NFTs at a certain time in the holder's country, due to possible changes in the legislation of the country itself, as well as risks related to taxation.
This section is important to clarify that the "World Of Frens" NFT project and its creators will not be held liable for any issues or damages that may arise from the use or ownership of the NFTs.
The "World Of Frens" NFT project is provided on an "as is" and "as available" basis without any representations or warranties, expressed or implied.
The creators of the "World Of Frens" NFT project shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the NFTs or the content associated with them. This includes but is not limited to damages for loss of profits, goodwill, use, data, or other intangible losses.
The "World Of Frens" NFT project does not provide any legal, financial, or tax advice. It is the responsibility of the NFT owner to comply with all applicable laws, regulations, and tax obligations in their jurisdiction.
The NFT owner acknowledges and agrees that they are solely responsible for the security and safekeeping of their private keys, passwords, and other authentication methods used to access and manage their NFTs. The creators of the "World Of Frens" NFT project will not be held liable for any loss or damage resulting from the NFT owner's failure to safeguard their access credentials.
The "World Of Frens" NFT project and its creators do not endorse or promote any specific NFT marketplace or exchange. It is the responsibility of the NFT owner to exercise caution and conduct their own due diligence before engaging in any transactions on any third-party platforms.
The NFT owner agrees to indemnify and hold harmless the "World Of Frens" NFT project and its creators from any claims, damages, or expenses (including reasonable attorneys' fees) arising from their use or ownership of the NFTs, their violation of these terms and conditions, or their infringement of any third-party rights.
The creators of the "World Of Frens" NFT project reserve the right to modify metadata, suspend, or discontinue the project at any time after fulfilling all things from the World Of Frens official Roadmap. They also reserve the right to refuse or cancel any NFT transaction or ownership transfer at their discretion.
IX. Acceptance of the Terms and Conditions
By minting or purchasing a "World Of Frens" NFT, the owner agrees to the terms and conditions set forth in this agreement. The owner acknowledges that they have read and understood the terms and conditions in their entirety, and agree to be bound by them.
The owner further acknowledges that they are solely responsible for complying with all applicable laws and regulations related to the use, transfer, and ownership of the NFT.
If the owner does not agree to the terms and conditions, they should not mint or purchase any "World Of Frens" NFTs. The owner agrees that any use of the NFT after accepting the terms and conditions constitutes acceptance of the terms and conditions in their entirety.
